Always do this

  • Confidentiality: a contract, a dispute, or a planned acquisition does not leave the tools approved by the company. Never on a personal account.
  • Check every legal text and every decision at the source before you answer. It is your answer that commits the legal department.
  • Communications with your outside counsel are privileged: upload them to a tool only with the same precautions as the matter itself.
  • Personal data: remove the names from a document before you hand it to an assistant, unless the tool is covered by a data processing agreement signed by the company.

Never hand this to AI

  • Weighing a legal risk against business stakes: that is your job.
  • Sending a counterparty a text you have not reread line by line.
  • The documents of a confidential transaction (acquisition, reorganization, internal investigation), in a consumer tool.
